Bylaws of the World Federation of Societies for Laser Medicine and Surgery

Article I
Name, Objective and Office

Section1: Name
The name of the organization shall be the World Federation of Societies for Laser Medicine and Surgery, abbreviated as WFSLM, and hereafter referred to as The Federation.

Section2: Objective
The objective and purpose of The Federation shall be
To serve as a bridging organization for societies or associations, that deal with the science of laser technology, and application in medicine, surgery and research, in both national and international levels.
To serve all the society-members as a medium for exchange, advancement and dissemination of scientific knowledge related to the use of all kind of lasers, to establish standard of learning, training and application, and to support society-members or organizations that need assistance.
To contribute the health and welfare of people through minimum invasive, highly hemostatic laser treatment that will serve valuable blood and lessen metastasis of cancer, risk of blood transfusion and morbidity of blood born infections such as AIDS and hepatitis.
 
Section3: Offices

The Society shall maintain its offices at the premises of current Secretary-General, until the permanent office can be established.

 

ARTICLE  II
Projects of The Federation
Projects of The Federation shall be

  1. Assisting projects of world wide society-members.
  2. Laser B-SAC(blood-saving campaign) promotion project
  3. Mobile laser treatment project

d)  Training and education projects of laser medicine and surgery
e)  Development project of future type of laser treatment
f)  Project of License and certification
g)  Development project of new laser device

ARTICLE  III
Membership
Section1: General Qualification
Active members of the society shall be
a) One representative from societies or associations dealing with laser research, laser medicine and surgery, at national and international levels.
b) One representative from regional societies representing 5 continents.
c) One representative from supporting members of NPO-WFSLMS, Society for Blood Saving (SBS)
   and others.
d) One representative from public organization(WHO, WTO, OECD, FDA, Red Cross Society, Rotary Club, Lion’s club and others)
e) One representative from supporting societies of medical laser industries.

Section2: Election to Membership
a) The representative of member society shall hand in his application to the Secretary-General, and approved by the Membership and Executive Comities.

  1. Membership card and representative card shall be sent to the member society from the Secretary-General.
  2. The member society shall give the name of representative on the representative card, and send it to the representative of the member society.

Section3: Termination of Membership
The Society, by majority vote of Executive Committee members present and entitled to vote may suspend a member or due course, but suspended member may petition the Executive Council and request a final hearing. The member society may resign from The Federation in writing to the Secretary-General with appropriate reason.

 

 

ARTICLE  IV
Offices
Section1: Offices of the Federation
The offices of The Federation shall consist of a President, a President-Elect, an immediate Past-President, a Secretary-General, an assistant Secretary-General and a Treasurer.

Section2: Election of officers and members of the Executive Council.

  1. The positions of President, President-Elect, Secretary-General, Assistant Secretary-General, Treasurer and Members of the Executive Council shall be confirmed and elected at each meeting, the candidates being proposed at each meeting by a Nominating Committee.
  2. The Nominating Committee shall be appointed by the current society President.
  3. Nominations from the floor shall normally be accepted.

Section3: Accession of Officers
The newly elected officers shall assume their duties at the conclusion of the meeting at which they have been elected.

Section4: Tenure of Office
The elected officers shall serve for four-year term, but may be elected for a further four-year term, making a maximum of 2 terms or 8 years.

 

ARTICLE V
Executive Council
Section1: General Powers
The affairs of The Federation shall be managed by the Executive Council who shall report to the membership at each meeting concerning all decisions and recommendations, in order to obtain approval of the membership.

Section2: Number
The Executive Council shall consist of the officers of the society as in IV:1, and members representing the III:1.

 

 

ARTICLE VI
Meetings of Members
Section1: Meetings
The Federation meetings shall be Executive Council Meeting, Standing Committee Meeting, The Federation Assembly(FA) and Sub-committee Meeting. Executive Council Meeting should attempt to meet regularly, and for a project report meeting every 2 years and at every 4 year meeting.
The Standing committee Meeting and Sub-committee Meetings shall be held as deem necessary by responsible chairman.

Section2: The Federation Assembly (FA)
There will be FA every 4 years. The agenda of Assembly shall contain acceptance of the previous FA, the President report the Treasurer report and the election of the New Executive Committee members .A list of new members societies may be presented at FA.

Section2: Quorum
The Quorum necessary for a meeting shall be ten percent (10%) of active members entitled to vote.

Section3: Society Publication
The Society will issue newsletter to keep membership informed .

Section4: Local Meeting Arrangements
Every 4 year, Executive Committee Meeting shall be held at the same time and in the same place as the International Society for Laser Surgery and Medicine (ISLSM) meeting.
The Local meeting arrangements shall be the responsibility of the Local Organization Committee.

Section5: Meeting Papers and Reports
Reports and papers for a presentation at the Meeting shall be given by members of The Federation only. Not withstanding the above, non-members may be invited by the local Organizing Committee
to present papers.

 

 

 

ARTICLE  VII
Standing Committees
Section1: Number of Standing Committee
There will be 9 permanent standing Committees namely: Membership Committee , bylaws Committee, Education&Training Committee, Guideline Committee, Financial Committee, B-SAC Committee, Business Committee, Industrial Committee and Publication Committee.
Members of the Standing Committee and Sub-committee shall be from the Executive Council members.

 

ARTICLE  VIII
Dues and Finances
Section1: Dues
At the early stage of The Federation, dues should be free to all representatives.

Section2: Finances

  1. The Federation financial Year is from January 1st to December 31st of the same year.
  2. The treasurer is responsible for banking and managing the Federation funds.
  3. If the Federation decides to make any investment, they must be in the Federation’s name, and all profits from these investments belong to the Federation. All investments must be signed by both the Treasurer and the President.
  4. If the Federation is closed down, any excess funds will be donated to a charity chosen by the Executive Committee.
  5. The Federation will be organized as a non-profit group.

 

ARTICLE  IX
Amendments to the By-Law

    • Changes to these bylaws can only be made and voted on at FA.
    • Any proposed change has to be made in writing to the Secretary-General at least 3 months before a Representative or Special Assembly. Any change has to be voted at the meeting.
    • These bylaws cannot be changed without an advance written note to the Secretary-General.
    • Only if the majority of representatives(more than 50% of those present who are entitled to vote) vote for any change, then the Bylaws can be changed.
